1. Acceptance of Terms

By accessing and using Ciliconvalley™ ("the Platform"), you accept and agree to be bound by these Terms of Service. If you do not agree to these terms, do not use this platform.

2. Platform Purpose

Ciliconvalley™ is a marketplace connecting idea creators ("Creators") with potential buyers, investors, and partners ("Buyers"). The Platform facilitates the sale, licensing, and partnership of business ideas, concepts, and innovations.

3. User Accounts

• You must provide accurate, complete, and current information during registration
• You are responsible for maintaining the security of your account credentials
• You must be at least 18 years old to use this Platform
• One person or entity may not maintain multiple accounts
• We reserve the right to suspend or terminate accounts that violate these terms

4. Intellectual Property Protection

For Creators:

• You retain all intellectual property rights to ideas submitted to the Platform
• By submitting an idea, you grant the Platform a limited license to display and market your idea
• All ideas are protected by NDA requirements, watermarking, and blockchain timestamping
• Only partial information (10-20%) is publicly visible without NDA

For Buyers:

• You must sign an NDA before accessing full idea details
• All viewed content is watermarked and logged with your identity
• Unauthorized use, disclosure, or copying is strictly prohibited and legally actionable
• You must purchase or license ideas before implementation

5. NDA Requirements

• All Buyers must sign a digital NDA before accessing full idea details
• NDAs are legally binding and enforceable
• Violation of NDA terms may result in legal action, account termination, and damages
• The Creator must approve NDA requests before access is granted

6. Transactions & Payments

• The Platform charges a 15% service fee on all transactions
• Buyers pay the full asking price; Creators receive 85% after platform fees
• All payments are processed through secure third-party payment processors
• Refunds are subject to our Refund Policy and must be requested within 7 days
• Buyers and Creators may negotiate terms directly through the Platform

9. Prohibited Activities

You may NOT:

• Submit ideas you do not own or have rights to
• Copy, screenshot, or redistribute idea content without authorization
• Implement ideas without proper purchase or licensing
• Share NDA-protected information with third parties
• Use the Platform for illegal, fraudulent, or harmful purposes
• Attempt to circumvent security measures, watermarks, or monitoring
• Harass, threaten, or abuse other users
• Share personal contact information or request off-platform communication
• Request or make payments outside the Platform's escrow system
• Encourage other users to violate Platform policies

10. Circumvention Penalties & Enforcement

Ciliconvalley actively monitors and enforces platform policies. Circumvention attempts are treated as serious violations:

• Monetary Penalties: Users who circumvent platform fees may be liable for up to 3x the avoided fees plus legal costs
• Account Termination: Confirmed circumvention results in permanent ban from the platform
• Legal Action: The Platform reserves the right to pursue legal action for breach of contract
• Transaction Reversal: Any pending payouts will be frozen during investigation
• Evidence Collection: All communications, access logs, and blockchain records may be used as evidence
• Third-Party Notification: We may notify payment processors and other platforms of fraudulent users

11. Dispute Resolution

All disputes arising from use of the Platform shall be resolved through binding arbitration in accordance with our Arbitration Policy. You waive your right to participate in class action lawsuits.

12. Limitation of Liability

The Platform is provided "as is" without warranties of any kind. Ciliconvalley™ is not liable for:

• Quality, viability, or profitability of any ideas listed
• Disputes between Creators and Buyers
• Unauthorized use of ideas despite protective measures
• Loss of data, revenue, or business opportunities

13. Monitoring & Enforcement

We employ multiple security measures including digital watermarking, access logging, blockchain timestamping, and AI monitoring. We actively pursue legal action against users who violate these terms or NDA agreements.

Security measures include but are not limited to:

• Real-time contact information detection in messages
• Pattern recognition for circumvention attempts
• IP address and device fingerprint logging
• Blockchain-verified ownership timestamps
• Watermarked document access tracking
• Automated compliance reporting to legal team

14. Changes to Terms

We reserve the right to modify these Terms at any time. Continued use of the Platform after changes constitutes acceptance of modified terms.

15. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Platform ceases immediately.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
